I need HELP to find a program. ASAP!!!

My appointment/daily-reminder program needs to be replaced.

If any of you know a good program of the following type, PLEASE let me know soonest...

1) Does daily, weekly, monthly & annual reminders

2) Can load at start-up

3) Can be set to start reminding several days BEFORE an event is due

4) When it loads, it presents a list of stuff due or overdue

5) NOT a lot of other features. I would like a small program --1mb or less, if possible

6) Does NOT run in background. Does NOT sit in my system tray.

7) $10 or less

8) WinMe
